Terms of Use

By accessing or using the MemTurbo platform, APIs, SDKs, dashboard, MCP server, and related services (collectively, the "Service"), you agree to be bound by these Terms of Use. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree to these terms, do not access or use the Service.

MemTurbo is a compression-native memory layer for AI agents. The Service enables you to store, compress, search, and retrieve persistent memories with vector embeddings. Key capabilities include:

• Memory storage with metadata, tags, and session tracking
• TurboQuant vector compression (up to 95% storage reduction)
• Semantic search via pgvector HNSW indexing
• REST API, TypeScript SDK, Python SDK, and MCP server access
• Multi-tenant isolation with row-level security
• Web dashboard for memory management and API key administration

To use certain features of the Service, you must create an account. You agree to provide accurate and complete registration information, keep your credentials secure, and notify us promptly of any unauthorized access.

You are responsible for all activity that occurs under your account and API keys. We recommend rotating API keys periodically and revoking keys that may have been compromised.

You agree not to use the Service to:

• Store, transmit, or process content that is unlawful, threatening, abusive, defamatory, or otherwise objectionable
• Violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights
• Attempt to gain unauthorized access to other users' projects, memories, or API keys
• Circumvent rate limits, authentication mechanisms, or multi-tenant isolation controls
• Reverse-engineer, decompile, or disassemble the TurboQuant compression algorithm or other proprietary components
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Use the Service to build a competing product or service
• Store personally identifiable information (PII) of individuals without proper consent and legal basis

You retain ownership of all content and data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to store, process, compress, embed, and index Your Data solely for the purpose of providing the Service to you.

You are solely responsible for the legality, reliability, and appropriateness of Your Data. We do not monitor or review the content of memories stored through the Service unless required for security, abuse prevention, or legal compliance.

You may export or delete Your Data at any time through the API or dashboard.

API access is subject to rate limits based on your subscription plan. We reserve the right to throttle or temporarily suspend access if your usage significantly exceeds your plan's limits or negatively impacts Service availability for other users.

API keys are confidential credentials. You must not share, publish, or embed API keys in client-side code, public repositories, or unsecured environments. We are not liable for unauthorized use resulting from your failure to secure API keys.

The Service offers Free, Pro, Team, and Enterprise plans. Paid plans are billed in advance on a monthly or annual basis.

• Upgrades take effect immediately with prorated charges
• Downgrades take effect at the end of the current billing cycle
• Cancellation can be done at any time; you retain access until the end of the current billing period
• Refunds are handled on a case-by-case basis at our discretion

We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Enterprise customers with SLA agreements are subject to the specific uptime guarantees outlined in their service agreement.

The Service, including the TurboQuant compression algorithm, web dashboard, documentation, and all related technology, is owned by MemTurbo and protected by intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or branding.

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these terms and your subscription plan.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that compression will achieve specific ratios for all data, that search results will be perfectly accurate, or that the Service will meet all of your requirements.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMTURBO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify and hold harmless MemTurbo, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

We may suspend or terminate your access to the Service at any time for violation of these terms, abuse, non-payment, or any other reason at our discretion, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days post-termination to allow export, after which it will be permanently deleted.

We may revise these Terms of Use at any time by posting an updated version on this page. Material changes will be communicated via email or a prominent notice on the Service. Your continued use after changes constitutes acceptance.

These terms are governed by and construed in accordance with the laws of the jurisdiction in which MemTurbo operates, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of that jurisdiction.
